Terms of Service

These terms are the agreement between SOPIQ, LLC ("SOPIQ," "we," "us") and the business that opens an Asteroniq account (the "Customer," "you") for the use of Asteroniq (the "Service"). Accepting a module in the Service, or using it, is acceptance of these terms by a person authorised to bind the Customer.

1. The Service

Asteroniq is a business platform delivered as a service, made of modules (SOPIQ Pulse, SOPIQ Desk, SOPIQ Chart, SOPIQ People, SOPIQ Ledger, SOPIQ Flow, SOPIQ Assist, SOPIQ Compass and others added over time). SOPIQ licenses the Customer, for the term, the non-exclusive right to use the modules the Customer has switched on, for its own business and, where the Customer is a managed service provider, for the customers it serves on the Service. SOPIQ hosts, maintains, supports and updates the Service; updates are delivered to every account and the guides inside the Service describe them.

2. Accounts, people and access

The Customer names an account administrator, decides who on its People list has which roles, and is responsible for what those people do. Sign-in is by single sign-on or one-time code; the Customer keeps its identity provider secure. SOPIQ's own staff may enter an account to support it, and every such entry is written to the access log.

3. Fees and billing

Each module is priced as the Service's Modules page and the published price list show, per user whose access reaches the module, per person on the roster, per company or per account, as the module says, with usage charges where stated (text message segments, metered AI). Every account carries SOPIQ Pulse for at least five users. The first thirty days after a module is switched on are free. The Customer chooses a term: month to month, an annual commitment billed monthly, or an annual commitment paid up front; prices differ by term and the annual commitment renews for a further year unless cancelled before the renewal date. Invoices are due as they state; an account more than thirty days overdue may be suspended after notice and closed after a further thirty days. Fees exclude taxes, which the Customer pays where they apply. Prices may change on sixty days' notice and take effect at the next renewal.

4. Trials and cancellation

A module may be switched off at any time; it stays on until the end of the month and its data is kept. The account may be closed at any time from the Service; the Customer may export its data before closing and for thirty days after, and the data is deleted thirty days after closure as the Privacy Policy describes. Fees paid for an annual commitment are not refunded on early closure except where the law requires.

5. The Customer's data

The Customer owns the data it puts into the Service and the data the Service reads from systems the Customer connects, and grants SOPIQ the right to host, process, copy, transmit and display it as needed to provide the Service and as the Customer instructs. SOPIQ does not sell it, does not use it for advertising and does not use it to train models. SOPIQ keeps it in the United States and protects it as the Privacy Policy and the Security page describe. The Customer is responsible for having the right to put the data in, including the rights of the people whose records it holds, and for the instructions it gives.

6. Connected services

Microsoft 365, Google Workspace, QuickBooks Online, Pax8, Datto, Autotask, Resend, SkySwitch, the cloud providers and any other system the Customer connects are the Customer's own relationships under those providers' terms. The Customer's administrator consents at connection and may disconnect at any time. SOPIQ is not responsible for those services, their availability or their changes, and will say plainly in the Service when a connection has stopped working.

7. Regulated work and CUI

The Service is designed to store no Controlled Unclassified Information: an attachment marked CUI is deleted on arrival and the sender told. The Customer agrees not to put CUI, protected health information it has not the right to process, payment card numbers or government identifiers into the Service. Where the Customer runs enclave environments, the Service's rules for cleared people, environment confirmation and administrator accounts apply and the Customer is responsible for keeping its people and tenants within them. SOPIQ documents where the Service sits against FedRAMP and CMMC for the Customer's assessor; the Customer's assessor decides what that means for the Customer.

8. Acceptable use

The Customer will not use the Service to send unsolicited mail or texts in breach of the law, to store or distribute unlawful or infringing material, to attack or probe systems it does not own (the collector and network discovery run only on the Customer's own machines and networks or those of its customers with their agreement), to resell the Service except as a partner under a partner agreement, or to interfere with the Service for others. SOPIQ may suspend an account to stop such use, with notice where it can give it.

9. Availability and support

SOPIQ runs the Service on a global edge platform and aims for continuous availability, with planned work announced in the Service. Support is through the Service's help and the desk address the Customer is given, on business days, Eastern time. SOPIQ keeps nightly copies of the database for ninety days.

10. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for this agreement, for three years after the agreement ends, and for the Customer's data for as long as SOPIQ holds it.

11. Intellectual property

SOPIQ owns the Service, its software, its documentation and its marks, including SOPIQ®, Asteroniq and the module names. The Customer may not copy, modify, reverse engineer or build a competing product from it. Suggestions the Customer makes may be used by SOPIQ without obligation. "Powered by SOPIQ" stays on the Service's pages.

12. Warranty and liability

SOPIQ warrants that the Service will perform materially as its guides describe and that it will use reasonable care to protect the Customer's data. Otherwise the Service is provided as is, and SOPIQ disclaims all other warranties, including fitness for a particular purpose and non-infringement, to the extent the law allows. The Service helps the Customer manage compliance; it does not make the Customer compliant, and the Customer's assessor, auditor or regulator decides the Customer's standing. Neither party is liable to the other for indirect, consequential or lost-profit damages, and SOPIQ's total liability under this agreement is limited to the fees the Customer paid in the twelve months before the claim, except for a party's breach of confidentiality, its indemnity or what the law does not allow to be limited.

13. Indemnity

SOPIQ will defend the Customer against a claim that the Service infringes a third party's intellectual property and pay the resulting damages, provided the Customer tells SOPIQ promptly and lets it control the defence. The Customer will defend SOPIQ against a claim arising from the Customer's data or its use of the Service in breach of these terms, on the same conditions.

14. Term and termination

This agreement lasts while the Customer has an account. Either party may end it for a material breach not cured within thirty days of notice. On termination the Customer's right to use the Service ends, export and deletion follow section 4, and sections 5, 10, 11, 12, 13 and 15 survive.

15. General

Florida law governs, and the courts of Broward County, Florida have jurisdiction, with each party waiving a jury trial where the law allows. Notices go to the account administrator's email and to Privacy@sopiq.com. Neither party is liable for delay caused by events outside its control. This agreement, with the Privacy Policy, the price list and any partner agreement, is the whole agreement; SOPIQ may update these terms on thirty days' notice in the Service, and continued use after that is acceptance. If a term is unenforceable the rest stands. The Customer may not assign this agreement without consent except to a successor of its business.
